Lila Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Lila, including its website, web application, AI task-planning features and related services (collectively, the “Service”).
Lila is operated by Karthik Priyadarshan Murugavel, operating Lila as an individual, of 47 millennium place, E29NL, United Kingdom (“Lila”, “we”, “us” or “our”).

By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
Lila is an AI-assisted task-planning tool designed to help users start and work through tasks by turning larger goals into smaller, more manageable actions.
You may enter goals, projects, tasks or other information into the Service. Lila may use artificial intelligence systems to interpret that information and generate suggested tasks, task breakdowns, priorities, point values or other outputs.
Lila is a productivity aid. It is not a medical device, healthcare service, therapist, crisis service or substitute for professional advice.
You must be at least 18 years old to use the Service.
By using Lila, you confirm that:
you are legally able to enter into a contract; the information you provide is accurate where accuracy is required; and your use of the Service will comply with applicable law and these Terms.
If you are using Lila on behalf of an organisation, you confirm that you have authority to accept these Terms on its behalf.
Some features may require an account.
You are responsible for:
keeping your login details secure; activity carried out through your account; providing accurate account information; and notifying us promptly if you believe your account has been accessed without permission.
You must not share your account in a way that compromises its security or allows another person to impersonate you.
We may require you to reset your credentials or take other reasonable security measures if we suspect that your account has been compromised.
Lila uses artificial intelligence to generate task suggestions and break larger tasks into smaller actions.
AI-generated content may sometimes be:
inaccurate, incomplete or unsuitable; repetitive or inconsistent; based on an incorrect interpretation of your input; inappropriate for your circumstances; or different from what a human task planner would recommend.
AI-generated suggestions are provided as optional starting points. You remain responsible for reviewing each suggestion and deciding whether it is appropriate before acting on it.
You should not rely on Lila to make decisions involving health, safety, employment, education, finance, law or any other matter where an incorrect suggestion could cause significant harm.
Lila does not guarantee that generated tasks will achieve a particular goal, accurately estimate the effort required, or be presented in the best possible order.
Do not use Lila to request or follow instructions for an emergency or an urgent health or safety situation.
The Service does not provide medical, psychological, legal, financial or other regulated professional advice. Consult an appropriately qualified professional where such advice is required.
“User Content” means information you enter, upload, submit or otherwise make available through Lila, including goals, project descriptions, tasks, notes, feedback and other text.
You retain any ownership rights you have in your User Content.
You grant us a limited, non-exclusive licence to host, store, reproduce, transmit, display, analyse and otherwise process your User Content as reasonably necessary to:
provide and operate the Service; send your input to the AI systems used to generate task suggestions; maintain the security and reliability of the Service; investigate errors and support requests; evaluate and improve Lila’s task-generation and task-breakdown systems; and comply with our legal obligations.
This licence lasts for as long as your User Content is held by us. It ends when the relevant content is deleted from our systems, subject to reasonable backup periods, legal retention requirements and data that has been irreversibly anonymised.
You must have the right to submit any User Content you provide. You must not submit content that infringes another person’s intellectual property, privacy, confidentiality or other rights.
Lila is not intended to store highly sensitive information.
Do not enter:
passwords, authentication codes or security credentials; payment-card or bank-account information; government identification numbers; detailed medical records; information about criminal allegations or convictions; confidential employer, client or customer information; another person’s private information without permission; or information whose disclosure could cause serious harm.
You are responsible for deciding what information to enter into the Service. Where possible, use general descriptions rather than names or identifying details.
We use product analytics, error-monitoring and session-recording tools to understand how Lila is used, identify technical problems and improve the Service.
These tools may include:
PostHog, for product analytics and session recording; Sentry, for error reporting, performance monitoring and debugging; and Google Analytics, for website and usage analytics.
These providers may process information such as:
device and browser information; approximate location derived from technical information; pages and features accessed; clicks, navigation and interaction events; dates, times and session duration; technical logs and error information; account or user identifiers where configured; and cookie or similar technology identifiers.
Further information about these providers, the data sent to them, applicable retention periods and international data transfers will be provided in our Privacy Policy and Cookie Policy.
With your consent where required, Lila may use PostHog session recording to create a replay of how you interact with parts of the Service.
A session recording may capture:
movement between screens; clicks, taps and scrolling; use of buttons and other interface controls; technical and visual information about the page; tasks and task suggestions displayed on screen; tasks generated by Lila’s AI systems; and other text displayed within portions of the interface configured to be recorded.
This means authorised members of the Lila team may be able to view the tasks that Lila generates for you during a recorded session.
We use this access to:
assess whether tasks are being broken down appropriately; identify confusing, repetitive or unhelpful AI suggestions; refine task-generation prompts and instructions; investigate product errors; improve the user experience; and evaluate whether features are functioning as intended.
Depending on how the recording system is configured, recordings could also capture text that you enter or that is visible on screen. You should therefore avoid entering sensitive, confidential or identifying information into Lila.
We will use reasonable technical and organisational measures to limit unnecessary recording, mask sensitive fields where appropriate and restrict recording access to authorised people who require it for legitimate product, debugging or support purposes.
Session recordings are not intended to record information from other browser tabs, unrelated applications, your camera or your microphone.
Where consent is legally required, non-essential session recording will not be activated unless you consent. You may withdraw your consent through the cookie consent banner on our website (where you can click Accept or Reject to set your preference in your browser's localStorage) or by contacting [email protected]. Withdrawal will apply to future collection and will not automatically delete information already collected.
Information about requesting deletion of existing recordings is available in our Privacy Policy.
Authorised members of the Lila team and authorised service providers may review limited examples of:
User Content; AI-generated tasks; task breakdowns; user interactions; feedback; session recordings; and associated technical information.
This review may be performed to operate, secure, test, debug and improve the Service, including improving the prompts and rules used to break tasks into smaller actions.
Access must be limited to people who reasonably need it for these purposes. Where service providers assist us, they may only process information under their contractual obligations to us.
We may also analyse aggregated or de-identified information that cannot reasonably be linked back to an identifiable user.

These policies explain, among other things:
what personal information we collect; why we collect it; our lawful bases for processing it; which service providers receive it; how long it is retained; whether it is transferred internationally; how cookies and similar technologies are used; and how you can exercise your data-protection rights.
Where we rely on consent, you may withdraw that consent at any time. Withdrawal does not affect the lawfulness of processing that occurred before consent was withdrawn.
You may send us feedback, suggestions, bug reports or ideas about Lila.
You grant us permission to use this feedback without payment or restriction to develop, improve, promote and operate the Service. This does not transfer ownership of any unrelated User Content to us.
Do not send information through a feedback channel that you do not want us to review.
You must not:
use the Service unlawfully or fraudulently; attempt to access another user’s account; interfere with the operation or security of the Service; introduce malware or harmful code; probe or test vulnerabilities without our written permission; bypass usage limits or security controls; scrape or systematically extract data from the Service without permission; use automated systems in a way that places an unreasonable load on the Service; reverse engineer the Service except where applicable law expressly permits it; use Lila to infringe another person’s rights; submit unlawful, abusive or malicious content; or use the Service to generate or facilitate harmful or illegal activity.
We may investigate suspected misuse and take reasonable action to protect Lila, its users and third parties.
Except for User Content, Lila and the materials forming part of the Service—including its software, interface, branding, designs, text and documentation—are owned by us or licensed to us.
We grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Service in accordance with these Terms.
These Terms do not transfer ownership of Lila or its intellectual property to you.
Lila relies on third-party infrastructure, analytics, monitoring, authentication, hosting and artificial-intelligence providers.
Your use of certain integrations or third-party features may also be subject to the relevant provider’s terms and privacy information.
We are not responsible for a third-party service that you independently choose to access or connect to Lila. However, this does not affect our responsibilities for service providers processing personal information on our behalf.
Lila may provide beta, experimental or early-access features.
These features may:
contain errors; change without notice; be incomplete; produce unexpected results; or be suspended or withdrawn.
You should not rely on a beta or early-access feature for critical activities or as the sole copy of important information.
Your feedback about these features may be used to develop and improve them.
We aim to make Lila available reliably, but we do not guarantee uninterrupted or error-free access.
We may modify, update, suspend or discontinue parts of the Service where reasonably necessary to:
improve functionality; address security or legal requirements; fix technical problems; respond to changes made by our service providers; manage misuse; or develop Lila’s product offering.
Where a change materially reduces a paid feature, we will provide reasonable notice where practicable and explain any applicable cancellation or refund rights.
You are responsible for retaining separate copies of information you cannot afford to lose.
Lila may offer free, trial or paid features.
Before you purchase a paid feature, we will provide applicable information about its price, billing period, renewal, cancellation and any additional terms.
Nothing in these Terms limits cancellation, refund or other rights that cannot legally be excluded.
You may stop using Lila at any time. You may request account deletion using [email protected].
We may restrict, suspend or terminate access where reasonably necessary because:
you materially or repeatedly breach these Terms; your use creates a security or legal risk; payment for a paid service remains overdue; we are required to do so by law; or we discontinue the Service.
Where appropriate, we will provide notice and an opportunity to resolve the issue before termination. Immediate action may be taken where necessary to prevent harm, secure the Service or comply with law.
Account termination does not automatically require us to delete information that we must retain by law or that is retained in backups for a limited period. Personal-information deletion is addressed in our Privacy Policy.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:
death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or breach of rights that cannot legally be excluded.
If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.
We are not responsible for a loss that was not reasonably foreseeable when you accepted these Terms.
Lila is intended for personal productivity use. If you use it for commercial or business purposes, we are not responsible for loss of profit, revenue, business, anticipated savings, business opportunity or business data, to the extent permitted by law.
We are not responsible for decisions you make solely on the basis of an AI-generated suggestion where the need to review that suggestion was reasonably clear.
Nothing in these Terms affects your statutory consumer rights.
We may update these Terms where reasonably necessary to reflect:
changes to the Service; legal or regulatory requirements; security requirements; changes to our business or service providers; or clearer wording or corrections.
If a change materially affects your rights, we will provide reasonable advance notice through the Service, by email or through another appropriate method.
The updated Terms will state their effective date. Where required, we will ask you to accept the updated Terms before continuing to use the Service.
We may send you service-related communications concerning your account, security, material product changes or these Terms.
Marketing communications will be handled separately and, where required, will only be sent with an appropriate lawful basis. You may unsubscribe from marketing messages without losing access to essential service communications.

These Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales.
If you are a consumer living in Scotland or Northern Ireland, you retain any right you have to bring proceedings in the courts where you live. If you live elsewhere, you may also have mandatory rights under the laws of your country that these Terms cannot remove.
If a court finds part of these Terms invalid or unenforceable, the remaining provisions will continue to apply.
A delay in enforcing a provision does not waive our right to enforce it later.
You may not transfer your rights or obligations under these Terms without our written permission. We may transfer our rights and obligations as part of a merger, restructuring, sale or transfer of the Service, provided this does not reduce your legal rights.
These Terms, together with any policies or additional terms expressly incorporated into them, form the agreement between you and us regarding the Service.
